To ask the Secretary of State for Business, Innovation and Skills, pursuant to the Answer of 3 May 2016 to Question 35753, how many and which companies have not confirmed to Companies House that they no longer have bearer shares; and what action he plans to take against such companies.

As of 6 May 2016, 63 companies had not informed Companies House that they no longer have bearer shares.
No action will be taken against these companies at the present time. There is no statutory obligation for any company that has converted bearer shares to registered shares to inform Companies House until it delivers its annual return or confirmation statement.
I have requested the Registrar of Companies to write to the Hon Member with the list of the company names.

The government introduced a ban on the issue of new bearer shares on 26 May 2015 through the Small Business Enterprise and Employment Act 2015. The legislation provided a transition period to allow existing bearer shareholders to convert their shares into other types of shareholding or to realise their value. The transition period ended on 25 February 2016. Companies notify Companies House of the removal of bearer shares when they file their annual return (which will change to the confirmation statement from 30 June 2016).
Since 26 May 2015 Companies House has worked closely with the approximately 1,300 companies that had bearer shares as well as their directors and professional representatives. Over 1,233 of those companies have confirmed to Companies House that they have no longer have bearer shares.
Companies House is monitoring each filing of these companies’ annual return to confirm that the bearer shares have been converted. This exercise will end in February 2017 once the annual filing cycle concludes following the end of the transition period.

The level of fees was determined on the basis of previous fees charged for similar services relating to the sale of Government assets and was subject to a competitive tendering process.
The key performance indicator and outcome in this instance was the delivery of a successful secondary sale of Royal Mail shares.

Rothschild will be paid a fee of £25k for their work on the disposal of the Government’s shareholding in Royal Mail. Each of the banks who executed the Accelerated Bookbuild were paid £1. Freshfields fees for the sale are expected to be around £50k.

The Government is considering what further steps would be appropriate to encourage a culture of long-term investment on the part of UK companies and their shareholders. This is important in driving UK productivity and ensuring sustainable economic growth.

As was the case for the recent sale, any future sales would require us to work with advisers to consider our sale options and assess which one best meets the stated sale objectives.
However, at any time, Royal Mail shares are directly available to retail investors as they are freely traded on the stock market.
